By accessing or using IléHQ (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service. These Terms apply to all users, including property managers, shortlet hosts, tenants, guests, and vendors.

Description of Service

IléHQ is an AI-powered property management platform that provides:

  • Property and unit management tools for residential and shortlet properties
  • AI-assisted maintenance ticket triage and management
  • Guest and tenant communication via WhatsApp, SMS, and portal
  • Booking management for shortlet/Airbnb-style properties
  • Vendor dispatch and coordination
  • Financial tracking and reporting
03Account Registration

Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Account Types

  • Property Manager: Manages long-term residential properties and tenants
  • Shortlet Host: Manages short-term rental properties and guest bookings
  • Both: Manages both property types

3.3 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

04User Obligations

User Obligations

You agree to:

  • Provide accurate and up-to-date information about your properties
  • Comply with all applicable laws, including tenancy laws in your jurisdiction
  • Not use the Service for any illegal or unauthorized purpose
  • Not interfere with or disrupt the Service or its infrastructure
  • Respond to guest inquiries and maintenance requests in a timely manner
  • Ensure your properties meet safety and legal requirements
  • Not upload harmful content, malware, or spam through the Service
05Booking and Payments

Booking and Payments

5.1 Booking Process

Shortlet hosts are responsible for setting accurate pricing, availability, and property rules. Guests book directly through the host's configured channels (WhatsApp, portal, etc.). IléHQ facilitates communication but is not a party to the booking contract between hosts and guests.

5.2 Subscription Fees

IléHQ offers subscription plans as described on our Pricing page. Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred.

5.3 Refunds

Subscription fees are generally non-refundable except as required by law. If you cancel during a billing period, you will retain access until the end of that period.

06AI Features and Limitations

AI Features and Limitations

Our AI-powered features are designed to assist with property management tasks. However:

  • AI suggestions are not a substitute for professional judgment
  • You should review and verify AI-generated responses before sending to guests or tenants
  • Emergency situations should be handled directly, not solely through AI systems
  • AI accuracy may vary, and you are responsible for final decisions
07Intellectual Property

Intellectual Property

7.1 Our Property

The Service, including its design, features, and technology, is owned by IléHQ and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.

7.2 Your Content

You retain ownership of content you upload to the Service (property photos, descriptions, etc.). By uploading content, you grant us a license to use, display, and process that content as necessary to provide the Service.

08Limitation of Liability

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided “as is” without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • We are not responsible for disputes between hosts and guests or landlords and tenants
  • We do not guarantee uninterrupted or error-free service
09Indemnification

Indemnification

You agree to indemnify and hold harmless IléHQ, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10Termination

10.1 By You

You may close your account at any time by contacting support. Upon closure, your data will be handled according to our Privacy Policy.

10.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees. We will provide reasonable notice when possible.

11Nigerian Law Compliance

Nigerian Law Compliance

For users in Nigeria, these Terms are subject to applicable Nigerian laws, including the Consumer Protection Act and relevant tenancy laws. Nothing in these Terms limits your rights under mandatory consumer protection legislation.

12Dispute Resolution

Dispute Resolution

Any disputes arising from these Terms will first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through arbitration in accordance with the rules of the applicable arbitration body in your jurisdiction.

For Nigerian users, this will be in accordance with the Arbitration and Conciliation Act. For Canadian users, this will be in accordance with the Arbitration Act of Ontario.

13Changes to Terms

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance of the new Terms.

14General

General

  • Entire Agreement: These Terms constitute the entire agreement between you and IléHQ.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Our failure to enforce any right does not constitute a waiver.
  • Assignment: You may not assign these Terms without our consent.
